AGREEMENT TO OUR LEGAL TERMS

We are ship2user, doing business as High Velocity Outlets, HighVelocityOutlets.com, and c/o Dave Hammond, Founder & Owner/Operator, ship2user ("Company," "we," "us," "our"), a company registered in Ontario, Canada at 1525 Point O Woods Road, Mississauga, Ontario L5G 2X6.

We operate the website http://www.HighVelocityOutlets.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

High Velocity Outlets is an online direct distributor specialized in The Unico System small-duct high-velocity central heating and air conditioning (HVAC) systems, parts, and accessories, manufactured by Unico, Inc. (1120 Intagliata Drive, Arnold, MO 63010 USA).

We ship direct from our respective brand partners, from within USA to US customers, and to Canadian customers. All transactions are conducted via our secure online check-out. High Velocity Outlets is operated by ship2user, an Ontario, Canada-based e-commerce business founded in 2004 by Dave Hammond, of the Greater Toronto Area. A family-run business, ship2user's goal is to provide a user-friendly and efficient platform to source and purchase your product, be a brand ambassador for our partners, and maintain 100% customer satisfaction. These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and ship2user, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Legal Terms. It is your responsibility to periodically review these Legal Terms to stay informed of updates.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws and treaties in the United States and around the world.

Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information and promptly update such registration information as necessary; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not a minor in the jurisdiction in which you reside; (5) you will not access the Services through automated or non-human means, whether through a bot, script, or otherwise; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.

4. PRODUCTS

We make every effort to display as accurately as possible the colors, features, specifications, and details of the products available on the Services. However, we do not guarantee that the colors, features, specifications, and details of the products will be accurate, complete, reliable, current, or free of other errors, and your electronic display may not accurately reflect the actual colors and details of the products. All products are subject to availability, and we cannot guarantee that items will be in stock. We reserve the right to discontinue any products at any time for any reason. Prices for all products are subject to change.

5. PURCHASES AND PAYMENT

We accept the following forms of payment: Visa, Mastercard, American Express, and others as noted in the check-out portion of the site.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. Sales tax will be added to the price of purchases as deemed required by us. All payments shall be in USD or CAD.

We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We reserve the right to refuse any order placed through the Services.

6. AI-ASSISTED COMMUNICATIONS

We use AI-powered tools — including OpenAI's GPT-4o and Anthropic's Claude — to assist with customer communications, including our website chat widget, SMS responses, and email follow-ups. AI-generated responses are intended to be accurate and helpful but should not be relied upon as the sole basis for technical, order-critical, or warranty-related decisions.

If any AI-generated communication contains an error — including pricing, availability, specifications, or compatibility information — we reserve the right to correct the error. An AI-generated statement does not constitute a binding contractual commitment unless confirmed in writing by a human representative of ship2user.

7. RETURN POLICY

Please review our Refunds & Returns Policy posted on the Services prior to making any purchases.

8. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than that for which we make the Services available. As a user of the Services, you agree not to:

• Systematically retrieve data or other content from the Services to create or compile a collection, compilation, database, or directory without written permission from us.

• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords.

• Use the Services in a manner inconsistent with any applicable laws or regulations.

• Upload or transmit viruses or any other material that interferes with any party's uninterrupted use and enjoyment of the Services.

THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF.

10. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. GOVERNING LAW

These Legal Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
